These Terms of Service (“Terms”) govern your access to and use of the websites, applications, and services (collectively, the “Services”) provided by Quorum Works, LLC (“Quorum Works,” “we,” “us,” or “our”), a limited liability company located in Pacific Palisades, California, United States. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. The Services
Quorum Works operates quorumworks, a multi-channel AI gateway and fulfillment control plane. The Services include an operator control portal, an agent fulfillment fleet, and messaging channels — including SMS/text messaging used to deliver operational alerts and user notifications as described below.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, and able to form a binding contract to use the Services. You are responsible for maintaining the confidentiality of any credentials, passkeys, or phone numbers associated with your access.
3. Acceptable Use
You agree not to:
- Use the Services for any unlawful, fraudulent, or abusive purpose;
- Attempt to gain unauthorized access to the Services, other accounts, or connected systems;
- Interfere with, disrupt, or overload the Services or its infrastructure;
- Send unsolicited, deceptive, or prohibited messages through any messaging channel; or
- Reverse engineer or circumvent security or authentication controls.
4. SMS / Text Messaging Program Terms
Program. By providing your mobile number and opting in, you consent to receive recurring SMS/text messages from Quorum Works. Our messaging consists of (a) operational and security alerts sent to the business owner/operator (the “operator lifeline”), and (b) account, transactional, and notification messages sent to users who have opted in.
Message frequency varies based on your activity and account events. Message and data rates may apply per your mobile carrier plan.
Opt out at any time by replying STOP to any message. You will receive one confirmation message and then no further messages. For help, reply HELP or email [email protected].
Carriers are not liable for delayed or undelivered messages. Supported carriers may change without notice. Consent to receive messages is not a condition of any purchase.
How we handle information collected through the messaging program — including the fact that we do not share mobile opt-in or SMS consent data with third parties for marketing purposes — is described in our Privacy Policy.
5. Intellectual Property
The Services, including all software, text, graphics, logos, and the quorumworks name and marks, are owned by Quorum Works, LLC or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services in accordance with these Terms.
6. Disclaimers
The Services are provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.
7. Limitation of Liability
To the maximum extent permitted by law, Quorum Works, LLC and its members, officers, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or related to your use of the Services. Our total liability for any claim arising out of these Terms or the Services will not exceed one hundred U.S. dollars (USD $100).
8. Indemnification
You agree to indemnify and hold harmless Quorum Works, LLC from any claims, damages, liabilities, and expenses arising out of your use of the Services or your violation of these Terms.
9. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.
10. Governing Law
These Terms are governed by the laws of the State of California, United States, without regard to its conflict-of-laws principles. Any dispute arising out of these Terms or the Services will be resolved in the state or federal courts located in California, and you consent to their jurisdiction.
11. Changes to These Terms
We may update these Terms from time to time. The “Last updated” date above reflects the most recent revision. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.
